Maker Agreement

1. Parties
This agreement is between FAST TMC LLC, a Georgia limited liability company in Kennesaw, Georgia, operating DropDockUSA ("DropDock"), and the maker named in the signed order form ("Maker").
2. Consignment and ownership
Goods are held on consignment. Title stays with the Maker until a unit is sold to a reseller.
3. Fees
- Receiving: $150 per pallet, charged once when the pallet arrives at the warehouse (Atlanta area). Each delivery is counted and photographed within 2 business days.
- Listing: $5 per product. The Maker enters the English title, description and photos in the maker panel; DropDock checks and approves them.
- Storage: $55 per pallet per month.
- No membership fee and no prepayment.
- Founding Maker program: for the first 20 makers, no $5 listing fee for 3 months.
4. Prices and shipping
The Maker sets its own unit price and always receives it in full. DropDock adds its margin on top. Shipping to the reseller's customer is free for the reseller and is never deducted from the Maker. Orders ship within 1 business day in blind packaging. DropDock does not ship to Alaska, Hawaii or Puerto Rico.
5. Payouts
Each sale is paid in USD 14 days after delivery. A 10% reserve is held for 30 days, then paid out.
6. Returns
Resellers' customers may return items within 30 days of delivery. Return shipping is paid by the buyer. Unused, resellable items go back into the Maker's stock.
7. Loss or damage
Goods lost or damaged while in DropDock's care are paid at the Maker's landed cost (product + freight + duty, from the customs entry) within 30 days.
8. Import and compliance
The Maker, or an import service it chooses, is the importer of record and delivers goods duties paid. The Maker is responsible for labels, test reports and certificates required for its products. Prohibited goods are listed on the home page.
9. Ending the agreement
Either party may end this agreement with 30 days' written notice. There is no exit fee; DropDock releases the Maker's stock within 5 business days after outstanding fees are settled.
10. Changes and law
Fee changes come with 60 days' written notice. This agreement is governed by the laws of the State of Georgia, USA.

2. Konsinye ve mülkiyet

3. Ücretler
- Mal kabul: palet başına $150, palet depoya (Atlanta bölgesi) vardığında bir kez alınır. Her teslimat 2 iş günü içinde sayılır ve fotoğraflanır.
- Listeleme: ürün başına $5. İngilizce başlık, açıklama ve fotoğrafları Üretici kendi panelinden girer; DropDock kontrol edip onaylar.
- Depolama: palet başına aylık $55.
- Üyelik ücreti ve ön ödeme yoktur.
- Kurucu Üretici programı: ilk 20 üretici için 3 ay boyunca $5 listeleme ücreti alınmaz.
4. Fiyat ve kargo
Üretici birim fiyatını kendisi belirler ve her zaman eksiksiz alır. DropDock kendi payını bunun üstüne ekler. Satıcının müşterisine kargo satıcı için ücretsizdir ve Üreticiden kesilmez. Siparişler 1 iş günü içinde nötr ambalajla gönderilir. Alaska, Hawaii ve Porto Riko'ya gönderim yapılmaz.
5. Ödemeler
Her satış teslimattan 14 gün sonra USD olarak ödenir. %10 rezerv 30 gün tutulur, sonra ödenir.
6. İadeler
Satıcının müşterisi teslimden itibaren 30 gün içinde iade edebilir. İade kargosu alıcıya aittir. Kullanılmamış, tekrar satılabilir ürünler Üreticinin stoğuna geri eklenir.
7. Kayıp veya hasar
DropDock'un elindeyken kaybolan veya hasar gören mal, gümrük belgesindeki maliyet (ürün + navlun + vergi) üzerinden 30 gün içinde ödenir.
8. İthalat ve uyum
İthalatçı (importer of record) Üretici ya da seçtiği ithalat hizmetidir; mal vergileri ödenmiş olarak teslim edilir. Ürün için gereken etiket, test raporu ve sertifikalardan Üretici sorumludur. Kabul edilmeyen ürünler ana sayfada listelenmiştir.
9. Sözleşmenin sona ermesi
Taraflardan biri 30 gün önceden yazılı bildirimle sözleşmeyi sona erdirebilir. Çıkış ücreti yoktur; açık ücretler kapandıktan sonra mal 5 iş günü içinde teslim edilir.
10. Değişiklikler ve hukuk
Ücret değişiklikleri 60 gün önceden yazılı bildirilir. Bu sözleşmeye ABD Georgia eyaleti hukuku uygulanır.
